WE the undersigned natural persons, all twenty-one years of age or more,
acting as incorporators of a corporation under the Non-Profit Corporation
Act (D.C. Code, 1981 Eidtion, Title 29, Chapter 5), adopt the following
Articles of Incorporation:
FIRST: The name of the corporation is Chatham Court Tenants Association, Inc.
SECOND: The period of duration of the corporation is perpetual.
THIRD: The purposes for which the corporation is organized are as follows: for educational, research, civic, including but not limited to the activities and affairs of organizing tenants residing in the Chatham Court Apartments, testifying at public and civic forums, bringing legal actions, publishing newsletters, periodicals, books, newspapers, and other materials, taking and holding title to property, and for any other lawful purpose that may be determined by the Board of Directors of the corporation.
FOURTH: The corporation shall have members.
FIFTH: The corporation shall have one class of members designated as residential tenants of Chatham Court Apartments. Such members shall be entitled to vote. Qualifications and other rights of such members shall be provided in the By-Laws as adopted by the Board of Directors and as amended from time to time by vote of the members.
SIXTH: Except for the initial Board of Directors, whose names are set forth in these Articles of Incorporation, the Board of Directors shall be elected or appointed as provided in the By-Laws.
SEVENTH: Provisions for the regulation of the internal affairs of the corporation, including provisions for distribution of assets on dissolution or final liquidation, shall be provided for in the By-Laws.
EIGHTH: The address of the initial registered office of the corporation is 1707 Columbia Road, N.W., Apartment 314, Washington, DC 20009-2819. The name of the initial registered agent of the corporation at such address is Wallace Dickson.
NINTH: The number of members constituting the initial Board of Directors of the corporation is four (4), and the names and addresses of the persons who are to serve as initial directors until the first annual meeting, or until their successors are elected or appointed and shall qualify, are:
